Terms of Service

1. Agreement

These Terms of Service ("Terms") are a binding agreement between Obsiluna LLC ("Orbit," "we," "us") and the business or person that registers for or uses Orbit (the "Customer," "Clinic," "you"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you use Orbit on behalf of an organization, you represent that you are authorized to bind it.

2. The Service

Orbit is a subscription software application that helps a Clinic manage its Instagram direct messages, comments, and audience, organize its own media, automate comment-to-DM lead capture the Clinic configures, and view analytics about the Clinic's own Instagram content. Features may change over time.

3. Accounts and eligibility

You must be at least 18 and provide accurate registration information. You are responsible for safeguarding credentials and for all activity under your account. Notify us promptly of any unauthorized use. Admin users are responsible for the members they invite.

5. Instagram / Meta and third-party services

Orbit connects to Instagram through the Instagram API with Instagram Login and depends on Meta's platform. You are responsible for complying with Instagram's and Meta's terms for your own account, and you authorize Orbit to access and act on your Instagram data only through the permissions you grant. We are not responsible for changes, limitations, or outages of Meta's or other third-party services (including Stripe and DigitalOcean). Automated replies and messages are sent only as you configure or initiate them; you are responsible for the content of messages, public replies, and private replies Orbit sends on your behalf and for compliance with applicable messaging, marketing, and consumer-protection laws.

You agree not to: use Orbit for unlawful, harassing, deceptive, or spam messaging; violate Meta/Instagram platform policies; infringe intellectual-property or privacy rights; upload content you lack rights or consent to; attempt to breach security, access other tenants' data, or reverse-engineer the Service; or resell the Service without authorization.

8. Intellectual property

Orbit, including its software, design, and trademarks, is owned by us and our licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. All rights not expressly granted are reserved.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that analytics or automated actions will achieve any particular result.

10. Limitation of liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our total liability arising out of or relating to the Service will not exceed the amounts you paid us in the twelve (12) months before the event giving rise to the claim.

11. Indemnification

You will indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from your Customer Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right (including consent, privacy, health-information, and platform requirements).

12. Termination

You may stop using and cancel the Service at any time. We may suspend or terminate access for violation of these Terms, non-payment, or risk to the Service or others. On termination, your right to use the Service ends and we may delete your data after a reasonable period consistent with our Privacy Policy.

13. Changes to these Terms

We may update these Terms; material changes will be posted here with a new date and, where appropriate, notice to Clinics. Continued use after changes take effect constitutes acceptance.

14. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. The parties submit to the state and federal courts located in San Diego County, California, unless you and we agree to arbitration.
